Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Wurk.Haus LLC ("Wurk.Haus," "we," "us," or "our") governing your access to and use of the Wurk.Haus website at wurk.haus, our Wurk.Flow desktop application, the Wurk.Flow web studio at app.wurk.haus, the license management portal at flow.wurk.haus, and any consulting or advisory services we provide (collectively, the "Services").
By accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of all Services immediately.
1. Definitions
- "Desktop Application" refers to the Wurk.Flow desktop application for macOS, Windows, and Linux, including all updates, patches, and documentation provided by Wurk.Haus.
- "Web Studio" refers to the browser-based edition of Wurk.Flow that we make available at app.wurk.haus. The Web Studio runs in your browser; Wurk.Haus serves its files but does not host or receive your project data.
- "Software" refers to the Desktop Application and the Web Studio, individually or together. Where a provision applies to only one of them, these Terms name it.
- "License" refers to the right granted to you to use the Software under the terms of the applicable tier (Free, Pro, or Team).
- "License Key" refers to the unique alphanumeric activation code issued upon purchase of a Pro or Team License, used to activate the Desktop Application. The Web Studio does not use a License Key; it recognizes your entitlement from your signed-in account.
- "HWID" refers to a cryptographic hardware identifier generated locally on your machine, used to bind a License to a specific device in the Desktop Application. The Web Studio generates no HWID; access there is tied to your signed-in account instead.
- "License Year" refers to the calendar year associated with a Desktop Application version under our Calendar Versioning (CalVer) scheme (e.g., all v26.x.x releases belong to License Year 26, corresponding to calendar year 2026). The Web Studio is not version-pinned and has no License Year.
2. Software License Grant
2.1 Free Tier
Wurk.Haus grants you a perpetual, non-exclusive, non-transferable, royalty-free license to use the Free edition of the Desktop Application for personal or commercial purposes. The Free edition is also available in the Web Studio at no charge and without an account, on the same terms. The Free tier includes a defined subset of features and may be upgraded at any time.
2.2 Pro Tier
Upon purchase, Wurk.Haus grants you a non-exclusive, non-transferable license to use the Pro edition of the Software for your selected billing term (monthly or annually). The Pro License includes:
- Access to all Pro features during your active subscription period.
- All updates and patches released while your subscription is active.
- Binding to a single machine via HWID in the Desktop Application; access to the Web Studio is granted to your account rather than to a device, and does not consume the HWID binding.
2.3 Team Tier
Upon purchase, Wurk.Haus grants you a non-exclusive, non-transferable license to use the Team edition of the Software on a per-seat basis for your selected billing term (monthly or annually). The Team tier includes everything in the Pro tier, plus real-time Co-Op collaboration (a Desktop Application feature), the Requirements Workbench, and the option to self-host the Co-Op relay on your own network. In the Desktop Application each seat is bound to a device via HWID; in the Web Studio access is determined by the signed-in account's organization and its active subscription. Seats may be added or removed each billing cycle through the license portal. Larger or custom deployments — volume seats, dedicated air-gap provisioning, or custom SLAs — are available on request; contact us for details.
2.4 Hardware Binding
In the Desktop Application, Pro and Team licenses are bound to a specific device using a locally generated cryptographic hardware identifier (HWID). Each License Key may only be activated on one machine at a time. If you need to transfer your license to a different machine, contact Wurk.Haus support. Hardware binding does not apply to the Web Studio, where entitlement is determined by your signed-in account.
3. Perpetual Fallback Rights
Perpetual fallback is a property of the Desktop Application, which ships as versioned releases. When an annual Pro or Team License ends — whether you cancel or simply stop renewing — you retain a perpetual right to keep using the Desktop Application releases of your final paid version year. For example, if your annual license covers version 26, every v26.x release continues to work indefinitely after your subscription ends; access to version 27 and any later version year requires a new License. Version years correspond to the calendar year of the release. The Web Studio is not version-pinned and always serves the current deployment, so version-year pinning has no application there.
We keep your perpetual license active for you, at no charge. Because your license is verified rather than issued as a permanent offline file, the Desktop Application renews it automatically whenever it is online (it checks roughly hourly while running), so under normal use you never have to do anything. You should connect to the internet at least once a year to keep your perpetual license renewed. If you operate in a fully air-gapped environment, contact support for an offline perpetual license.
Monthly subscriptions do not include perpetual fallback rights. If a monthly subscription ends, access to paid features stops at the end of the final paid billing period.
Refunds and chargebacks void perpetual fallback. If payment for your final license year is refunded, reversed, or charged back, the perpetual fallback right for that period no longer applies.
If a renewal payment fails, your access is not interrupted while your payment processor retries the charge. Running a version released after your paid version year restricts paid features to that newer year until you renew.
4. License Restrictions
You agree that you will not:
- Copy, modify, distribute, sell, sublicense, or create derivative works of the Software.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
- Remove, alter, or obscure any proprietary notices, labels, or marks in the Software.
- Share, publish, or transfer License Keys to unauthorized parties.
- Circumvent, disable, or tamper with the HWID binding or license validation mechanisms.
- Use the Software to develop a directly competing product.
5. Payment and Billing
5.1 Pricing
License fees are listed on the Download page. All prices are in US Dollars (USD) and are subject to change with reasonable notice. Price changes never affect a term you have already paid for; renewals are billed at the then-current price (see Section 5.3).
5.2 Refund Policy
Due to the digital nature of the Software and the availability of a free tier for evaluation, all license purchases are final and non-refundable unless otherwise required by applicable law. We encourage you to fully evaluate the Free edition before purchasing a paid license.
5.3 Renewal
Pro and Team licenses automatically renew monthly or annually (depending on your selected billing cycle) at the then-current price until you cancel. You may cancel auto-renewal at any time through the license portal or by contacting us. Cancellation takes effect at the end of the current billing period — you will retain full access through the remainder of your paid term. If you are on an annual plan, your perpetual fallback rights (Section 3) remain in effect regardless of cancellation.
6. Third-Party Integrations
6.1 AI Services (BYOAI)
The Software supports optional integration with third-party AI providers through a "Bring Your Own AI" model. The Desktop Application currently supports OpenAI, Anthropic, Azure OpenAI, AWS Bedrock, Groq, Mistral, and Ollama for local inference; the Web Studio supports the same providers except AWS Bedrock. You supply your own API key, and requests are made directly from your device to the provider. Your use of third-party AI services is governed by your own agreement with, and the respective terms of service of, that provider. Wurk.Haus is not responsible for the availability, accuracy, or conduct of any third-party AI provider.
6.2 Database Connections
The Desktop Application connects to external databases (PostgreSQL, Snowflake, BigQuery, SQL Server, and others) at your direction. The Web Studio does not include those drivers; in the browser you may query the in-browser DuckDB sandbox, open a local .duckdb file, or connect to MotherDuck using your own access token. You are solely responsible for ensuring that you have proper authorization to access any database or data service you connect to through the Software. Wurk.Haus has no access to your database credentials, schemas, or data.
7. Consulting Services
Wurk.Haus offers professional consulting and advisory services including ecosystem implementation, team onboarding, data contract architecture, and enterprise integration. Consulting engagements are governed by a separate Statement of Work (SOW) agreed upon by both parties prior to commencement. In the event of any conflict between these Terms and a SOW, the SOW shall prevail with respect to the relevant engagement.
8. Intellectual Property
All rights, title, and interest in and to the Software, including all intellectual property rights therein, are and shall remain the exclusive property of Wurk.Haus LLC. These Terms grant you no rights to Wurk.Haus trademarks, trade names, logos, or branding without prior written consent.
You retain full ownership of all data, schemas, models, project files, and other content you create using the Software. Wurk.Haus claims no rights to your work product.
9. Disclaimer of Warranties
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WURK.HAUS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WURK.HAUS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE OR SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to Wurk.Haus for the Software or Services during the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Wurk.Haus LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms. Upon termination:
- Your License Key may be revoked and paid features disabled.
- You must cease all use of the Software beyond the Free tier.
- Sections 4, 8, 9, 10, 11, and 14 shall survive termination.
Termination does not affect your ownership of data and project files created with the Software, which remain on your own device — as files on your disk when created with the Desktop Application, and in your browser's local storage when created in the Web Studio.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. For material changes, we will make reasonable efforts to notify active license holders. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State in which Wurk.Haus LLC is organized, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in that State.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.
